1. Agreement to Terms

By accessing or using the Meridami website, Web Document PiP HUD, or native companion applications (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Non-Affiliation with Third-Party Platforms

Meridami is an independent software productivity tool created by Cymbidium Labs LLC. Meridami is not affiliated with, endorsed by, sponsored by, or officially connected with Discord Inc., Apple Inc., Google LLC, or any of their subsidiaries or affiliates. Discord and associated names, logos, and marks are registered trademarks of Discord Inc.

3. Free Core Service & Optional Supporter Passes

Meridami operates under a simple, user-first model:

100% Free Core Functionality: All core productivity features—unlimited friends, voice presence detection, timezone calculations, birthday reminders, and client-side encrypted sync—are completely free for all users with zero advertisements and zero functional paywalls.
Optional Supporter Passes: Paid passes represent optional support for independent development:
- Coffee Tip ($2.99): A one-time tip unlocking the ☕ Supporter badge in your local HUD.
- Annual Supporter ($4.99): A 1-year non-renewing pass unlocking the ⭐ Annual Supporter badge, status aura animations, and custom HUD glow themes. Automatically terminates after 1 year with zero auto-renewal.
- Founding Supporter ($9.99): A lifetime pass unlocking the 👑 Founding Supporter badge, project credits listing, and all present and future themes. Never expires.
No Auto-Renewals: All passes terminate cleanly at expiration without recurring debiting or subscription lock-in.
Anonymous Device Binding: Supporter unlocks are bound anonymously to your device without collecting personal financial information or storing credit card numbers.

4. User Responsibilities & Permissible Use

You agree to use Meridami only for lawful, personal purposes. You agree not to:

Reverse engineer, decompile, or tamper with the client-side cryptographic engine.
Attempt to perform denial-of-service (DoS) or flood attacks against the cloud relay infrastructure.
Use the software in violation of applicable export controls or privacy laws.

5. Zero Warranty & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CYMBIDIUM LABS LLC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL CYMBIDIUM LABS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any legal action arising under these Terms shall be instituted exclusively in the state or federal courts located in Wyoming.
